We have a long and extensive track record of advising clients on merger control requirements and representing them in Swiss and multi-jurisdictional merger control proceedings.. We cooperate closely with our CMS M&A team which consistently advises on the highest number of M&A transactions of all law firms in Switzerland and Europe. In addition, many clients entrust us directly with their merger control cases.

Merger control and foreign direct investment control (FDI) is where our exceptionally wide footprint with more than 225 competition lawyers across CMS offices in Europe, Asia, Africa and South America is particularly valuable. This, combined with a very extensive network of long-established contacts across all other relevant countries worldwide (e.g., via the World Law Group), allows us to offer a one-stop shop solution for all of our clients’ transactions which is second to no other law firm in Switzerland.

We help our clients establish an optimal merger control strategy to maximise the prospects of clearance and reduce the risk of delays. We steer our clients through any “gun-jumping” pitfalls in the context of the due diligence process and the preparatory phase between signing and closing. Moreover, we set up the necessary safety mechanisms to ensure compliance with competition laws during the transaction process (clean teams, data rooms etc.).

We also represent the interests of third parties to achieve their strategic goals concerning mergers between other industry players.

CMS advises Synlab on the sale of its Swiss business to Sonic Healthcare
SYNLAB and Sonic have announced the sale of SYNLAB Suisse SA to Sonic Healthcare for a purchase price of CHF 150m, having received the required approval of the Swiss antitrust authority. Closing of the transaction expected for 3 July 2023.
