CMS advised Stiftung für Kunst, Kultur und Geschichte regarding the merger of its real estate companies

Belplan Immobilien AG and Terresta Immobilien- und Verwaltungs AG, both real estate companies of the foundation "Stiftung für Kunst, Kultur und Geschichte" (SKKG) in Winterthur, have been merged with retroactive effect from 1 January 2026. As a result, ownership and management of the properties are now brought together under one roof with the new name Terresta AG. The merger is intended to simplify structures and reduce administrative efforts.

In addition to its collection of cultural artefacts, SKKG, founded by Bruno Stefanini, owns a real estate portfolio comprising around 2,200 residential properties, 200 commercial properties, 60 undeveloped plots of land, as well as Grandson Castle on Lake Neuchâtel and Brestenberg Castle on Lake Hallwil. The business operations have been spun off by the non-profit foundation into a separate taxable real estate company. SKKG uses the income generated from its real estate portfolio to fund its cultural activities and to maintain and develop its properties.

A team of CMS Switzerland, led by Stefan Brunnschweiler and Franziska Hammer, advised SKKG on all legal matters of the transaction.
