W&I Insurance in Switzerland

We are delighted to announce the release of a new publication by our senior associate Audrey Durand focusing on Warranty & Indemnity (W&I) insurance in Switzerland. Audrey's article is featured in the most recent issue of GesKR 1/2024.

A well-established practice in the Anglo-Saxon M&A world for over four decades, the W&I insurance is becoming an increasingly popular tool on the European M&A market and is suitable for transactions of any size. This trend is confirmed by the newly issued 2024 CMS European M&A Study which shows that, in 2023, nearly half of large M&A transactions featured W&I insurance. Audrey's article not only describes the process of underwriting W&I insurance but also analyses the typical content of W&I policies issued in Switzerland, and the impact of the W&I policy on the drafting and negotiation of the transaction documents.
