Adolfo is a Senior Associate in the Corporate/M&A Group at CMS Carey & Allende. He advises domestic and international clients on complex local and cross-border M&A matters across a broad range of industries, with a particular focus on infrastructure, energy, renewable energy and project development sectors.

His practice focuses primarily on transactional matters, including acquisitions and disposals of companies and assets, joint ventures, corporate reorganisations, and investment structures. He regularly advises strategic investors, sponsors, founders, sellers, buyers, and insurers on complex deal structures, including full acquisitions, minority investments, rollover and reinvestment arrangements, purchase price adjustment mechanisms (such as locked-box, completion accounts and earn-outs), deferred consideration structures, and management incentive arrangements.

Adolfo has extensive experience coordinating multidisciplinary and multi-jurisdictional teams of legal, financial, tax and technical advisors, as well as insurers, underwriters and brokers. He also regularly participates in due diligence processes, transaction structuring, disclosure exercises, and the negotiation and drafting of transaction documents governed by both Chilean and foreign laws.

He has significant experience in Warranty & Indemnity (W&I) insurance-backed deals, advising buyers, sellers, insurers and underwriters in connection with underwriting processes, disclosure negotiations, policy structuring and transactional risk allocation matters.

His experience also includes the incorporation and reorganisation of corporate structures and special purpose vehicles (SPVs), as well as advising on public and private tender processes relating to physical and digital infrastructure projects in sectors such as transportation, telecommunications and education.

In addition, Adolfo advises companies and investors on debt and equity financing transactions, including venture capital and growth equity investments, and regularly negotiates investment and financing instruments such as SAFEs, ASAs, convertible instruments and shareholders’ arrangements.

From October 2024 to April 2025, Adolfo worked as an International Visiting Attorney in the Corporate Transactions team at CMS Cameron McKenna Nabarro Olswang LLP in London, where he focused primarily on cross-border energy and infrastructure transactions.

Adolfo is admitted to practice law in Chile since 2017 and in the State of New York, United States, since 2026.

  • Inversiones Los Cerezos SpA. and The Inprolec Group, as sellers, in the cross-border sale of a Chilean energy generation company owning and operating a strategic thermal power generation asset (273 MW).
  • Visma on its acquisition of Comunidad Feliz, a SaaS platform for community and building management (proptech) operating in Chile and Mexico, strengthening Visma’s position in the Latin American real-estate technology market.

He has significant experience coordinating multidisciplinary teams of legal, financial, technical, and insurance (W&I) advisors, structuring buy-sell transactions, conducting due diligence on underlying assets and target companies, and drafting transaction documents governed by both Chilean and foreign laws.

He also has experience advising clients on the incorporation of corporate structures and special purpose vehicles, as well as participating in both public and private tender processes. This work has focused on underlying assets related to physical and digital infrastructure for project development across various industries, including transportation, education, and telecommunications.

Adolfo is a Senior Associate in the Venture Capital Group at CMS Carey & Allende. His practice focuses on advising domestic and international clients on mergers and acquisitions, particularly in the infrastructure, renewable energy, and project development sectors.

He advises companies and investors across various stages of growth on debt and equity financing transactions, including venture capital structures. His work includes negotiating investment agreements—such as term sheets, Simple Agreements for Future Equity (SAFE), Advance Subscription Agreements (ASA), Series A financings, equity kickers (warrants), and convertible loan instruments.

Additionally, he has experience designing and implementing employee and service provider compensation plans, including employee stock ownership plans (ESOPs), phantom equity arrangements, and other incentive schemes.
