Adolfo is a senior associate in the Corporate/M&A Group at CMS Carey & Allende. He advises domestic and international clients on mergers and acquisitions across several industries, with a particular focus on the infrastructure, renewable energy, and project development sectors.
He has significant experience coordinating multidisciplinary teams of legal, financial, technical, and W&I insurance advisors, structuring buy-sell transactions, conducting due diligence on underlying assets and target companies, and drafting transaction documents governed by both Chilean and foreign laws.
Adolfo also advises on the incorporation and reorganisation of corporate structures and special purpose vehicles, and participates in public and private tender processes involving physical and digital infrastructure projects in industries such as transportation, education, and telecommunications.
He regularly assists companies and investors at various stages of growth on debt and equity financing transactions, including venture capital structures. His experience includes negotiating investment instruments such as term sheets, Simple Agreements for Future Equity (SAFE), Advance Subscription Agreements (ASA), Series A financings, equity kickers, and convertible loan instruments.
Additionally, Adolfo designs and implements employee and service-provider compensation plans, including employee stock ownership plans (ESOPs), phantom equity schemes, and other incentive structures.
From October 2024 to April 2025, he worked as an International Visiting Attorney in the Corporate Transactions team at CMS Cameron McKenna Nabarro Olswang LLP in London, focusing primarily on energy and infrastructure transactions.
Adolfo is qualified to practice law in Chile (2017) and has passed the New York Bar Examination (July 2025), pending admission.
