Emiliano La Sala joined the firm in 2025 as a Partner and Head of the Debt Capital Markets practice within the Banking and Finance department.
Prior to joining the firm, Emiliano was a senior lawyer at a leading Magic Circle international law firm, bringing nearly twenty years of nationally and internationally recognized experience. His practice focuses on debt capital markets transactions for both Italian and foreign banking issuers, including MTN programs, structured products (such as structured notes, certificates, and warrants), standalone issuances, and private placements. He has particular expertise in bond issuances targeting institutional and retail investors, structured products, and digital finance, including blockchain bonds and liability management transactions.
Emiliano regularly advises on regulatory matters in the capital markets and Fintech sectors, liaising with regulatory authorities such as Consob and the Bank of Italy. He has been at the forefront of legal advisory in Fintech innovation, including bond tokenization, the EU Pilot Regime, MiCAR, and digital payments (PSD2).
Throughout his career, Emiliano has assisted numerous Italian and international issuers in preparing prospectuses approved by Consob and other European authorities for the offering and listing of bonds and structured products. His recent notable transactions include:
- Advising on major retail “systemic” bond offerings, including Eni’s inaugural €2 billion sustainability-linked bond targeting retail investors.
- Drafting prospectuses for the offering of certificates and warrants.
- Leading the reshoring of prospectuses to Italy, including assisting Mediobanca with the first EMTN program approved by Consob and its €500 million inaugural issuance.
- Advising on syndicated senior and subordinated bond deals for Mediobanca, including a €500 million senior preferred bond and a €300 million Sustainable Tier 2 subordinated bond.
- Supporting regulatory innovation under the Italian Fintech Decree and advising leading banking institutions on blockchain bond projects, including the first DLT-issued bond by Cassa Depositi e Prestiti, fully subscribed by Intesa Sanpaolo.
