CMS Grau advises banking syndicate on financing in favor of Tambo

CMS Grau advised Banco Internacional del Perú (Interbank) and Banco de Crédito del Perú (BCP), as lenders in a syndicated financing of up to S/ 37.5 MM granted by those banks in favor of Tiendas Tambo S.A.C. (Tambo). The financing will be used for the opening of new stores, the maintenance of TAMBO’s establishments as of the date and the reprofiling of a previous debt contracted with Banco Interamericano de Finanzas (BanBif).

Tambo is a company within the Lindcorp group and a leader in the convenience store industry with hundreds of establishments throughout the country. Therefore, this transaction is particularly relevant for the group as it will enhance Tambo's growth in this sector.

For the implementation of the financing, a Second Addendum to the original Medium-Term Loan Agreement dated February 24, 2022, was subscribed, through which two new tranches were incorporated into the syndicated financing initially granted by Interbank, BCP and BanBif in favor of Tambo.

The transaction was closed on February 16, 2024, while the funds were disbursed by Interbank and BCP in favor of Tambo on Friday, February 23, 2024.

Among the main challenges of the transaction, we can highlight the complexity of the operation due to the multiplicity of parties and teams involved, which required the participation of a specialized team capable of addressing and centralizing the requirements of the various legal and commercial teams of the financial institutions involved in the operation in order to achieve disbursement on the scheduled date.
