Saša Sodja is a partner and co-heads the corporate/M&A practice at the CMS office in Ljubljana. Through 17 years of working experience, she has developed into a well-rounded transactional lawyer who provides all-round support and advice to international and domestic clients from various industries and backgrounds, all the way from organizing and managing an M&A deal team to post-merger integration.   

One pillar of her practice is providing legal and strategic advice to bidders, targets and shareholders in private and public M&A transactions. Another focus is to prepare and steer critical shareholder meetings that implement corporate reorganizations such as conversions, mergers, spin-offs and the squeeze-out of minority shareholders. Her financial and tax background are valuable in the structuring workstreams of these engagements and in liaising with the financial and tax advisers. 

Sodja also advises companies on their ongoing corporate matters with a focus on corporate governance, compliance and directors' liabilities issues. 

The topic closest to her heart is start-ups and she therefore helps lead our equIP programme and is highly involved in cooperation with various accelerators. Her scope of services when it comes to start-ups evolves around corporate governance, investment rounds, M&A and compliance. The goal is to steer a high-tech company through the maze of legislation and help them navigate a legal and business landscape from the launch of the company and throughout its growth.

Saša Sodja is well versed in negotiating, analysing and drafting various agreements designed to prevent disputes, reduce commercial risk to businesses and present opportunities for growth. In addition she also advises on sales agreements, agency agreements, commercial leases, services agreements, licence agreements etc. 

Sodja is also appreciated for her expertise in advertising law, her knowledge of distribution systems, product launches and liability as well as supply and manufacturing agreements, often acting for retailers, telecoms and automotive clients.  

Due to her strong tax and financial background, she is well positioned not just to provide legal alternatives but also to offer pragmatical solutions that work from a business perspective as well.

Saša Sodja has over a decade of hands-on experience advising international and local clients on a variety of tax matters. She joined the CMS tax team in 2010 after years of experience in tax consulting in both Slovenia and Croatia working for a Big Four company and immediately took over team and performance coordination for key clients and projects. 

She advises her clients on the full range of taxation matters, including taxation planning, tax inspections, company restructuring and transfer pricing. She has exceptional customer-focused experience in advising clients on tax matters with regard to regional cross-border deals. 

Saša Sodja graduated from the University of Ljubljana’s Faculty of Law in 2004 and passed her bar exam in June 2017.

Life Sci­ence M&A Deals on the Rise in Slov­e­nia
Pub­lished on ceeleg­al­mat­ters.com­For­eign in­vestors of all types were in­creas­ingly in­ter­ested in Life Sci­ence (LS) com­pan­ies even be­fore COV­ID-19 emerged. It is no won­der that Slov­e­ni­an LS com­pan­ies are of par­tic­u­lar ap­peal, since this highly in­nov­at­ive com­munity sig­ni­fic­antly con­trib­uted to Slov­e­nia be­ing ranked 21st in this year’s Bloomberg In­nov­a­tion In­dex. Some say COV­ID-19 cata­lyzed the new deals this year, but they were more likely fostered by the new in­vest­ment op­por­tun­it­ies that keep pop­ping up with each in­nov­at­ive solu­tion offered by the re­l­at­ively small (and re­l­at­ively in­ex­pens­ive) com­pan­ies in Slov­e­nia. The race to ac­quire these in­nov­at­ive scale-ups and start-ups has be­come in­creas­ingly com­pet­it­ive.
