Saša Sodja is a partner and head of the corporate / M&A practice in CMS office in Ljubljana. Through 17 years of working experience, she has developed into a well-rounded transactional lawyer who provides all-round support and advice to international and domestic clients from various industries and backgrounds, all the way from organizing and managing an M&A deal team to post-merger integration.
One pillar of her practice is providing legal and strategic advice to bidders, targets and shareholders in private and public M&A transactions. Another focus is to prepare and steer critical shareholder meetings that implement corporate reorganizations such as conversions, mergers, spin-offs and the squeeze-out of minority shareholders. Her financial and tax background are valuable in the structuring workstreams of the engagements and in liaising with the financial and tax advisers.
Sodja also advises companies on their ongoing corporate matters with a focus on corporate governance, compliance and directors' liabilities issues.
The topic closest to her heart is start-ups and she therefore helps lead our equIP programme and is highly involved in cooperation with various accelerators. Her scope of services when it comes to start-ups evolves around corporate governance, investment rounds, M&A and compliance. The goal is to steer a high-tech company through the maze of legislation and help them navigate a legal and business landscape from the launch of the company and throughout its growth.

Saša Sodja is well versed in negotiating, analysing and drafting various agreements designed to prevent disputes, reduce commercial risk to businesses and present opportunities for growth. In addition she also advises on sales agreements, agency agreements, commercial leases, services agreements, licence agreements etc.
Sodja is also appreciated for her expertise in advertising law, her knowledge of distribution systems, product launches and liability as well as supply and manufacturing agreements, often acting for retailers, telecoms and automotive clients.

She has actively participated in both local and cross-border capital market transactions, as well as mergers and acquisitions engagements, handled by the Slovenian team in this sector. Saša has provided legal advice to established businesses and fast-growing early-stage companies on various legal matters, including large-scale projects with a cross-border component.
