Oleksandra Prysiazhniuk is a Counsel in the Corporate/M&A practice group at CMS Ukraine with over 20 years of experience advising on corporate law and complex domestic and cross-border transactions. 

She specialises in domestic and cross-border M&A, joint ventures, greenfield investments, restructurings, and corporate governance. She also has extensive experience advising on employment and energy sector matters, including regulatory compliance, market entry strategies, and transactional structuring.

Oleksandra has advised clients across various industries, including agriculture, energy, financial services, pharmaceuticals, commodity trading, and hospitality. She provides strategic legal guidance throughout all stages of transactions, from due diligence to post-merger integration, ensuring seamless execution and risk mitigation.

Oleksandra has been constantly recently recognised as a leading individual by the Who’s Who Legal independent research with clients and peers and included in the edition of WWL: Hospitality (2020-2024) for her “great knowledge of Ukrainian law”.

  • A renewable energy company on advising in connection with the acquisition and development of a solar park in Ukraine, including due diligence, transactional work, real estate and regulatory advice on photovoltaic project development and employment matters
  • An international renewable energy investor on the structuring, due diligence and regulatory aspects of a joint venture investment in Ukrainian onshore wind projects
  • An international company on the acquisition of a crewing and ship manning company providing crew management services to shipowners. The engagement included legal due diligence, transaction structuring, negotiation and drafting of the transaction documentation, and advising on regulatory, employment, and maritime law aspects to facilitate the successful completion of the acquisition
  • A publicly listed European food group on the cross-border acquisition of a manufacturer of flavours, aroma compounds, and food ingredients, including legal due diligence and transaction structuring 
  • A global leader in orthopaedics on establishing its legal presence in Ukraine, including the establishment of orthotics and prosthetics patient care clinic and a orthopedic product supply entity, and supporting the implementation of the client’s operational structure in Ukraine
  • A leading international medical technology company on various corporate governance matters, including establishment of the supervisory board as well as on various commercial matters, including expanding business activities, updating template contracts etc.
  • A leading limestone company on vendor due diligence of Ukrainian assets and the implementation of investment recommendations
  • A multinational innovative construction solutions company on a broad range of corporate governance, commercial, and financial matters relating to the operations of its Ukrainian subsidiary
