Webinar - The Company Code Reform: challenges for your company

Online

Event details

Programme

12 Dec 2019 Past event

11:00 - 12:30 CET

On 1 May 2019, the new law introducing the Code on Companies and Associations partially entered into force. Certain types of companies can no longer be established (silent partnership, CVOA, CVA, BVBA).

In addition, as of 1 January 2020, all mandatory provisions will come into force. From then on, you will not be able to introduce any statutory changes without bringing all articles of association in accordance with the new Code on Companies and Associations.

Of course, this also results in some changes in the field of tax law.

CMS invites you on 12 December 2019 to follow a webinar organised by our specialists.

Programme:

Your company

  • Is the form of your company still suitable?
  • Are your company's articles of association in accordance with the Code on Companies and Associations?
  • What are the main differences between the different types of companies?
  • By when do you need to amend your articles of association to bring them in line with the new legislation?
  • Have any tax aspects changed in the light of new company law notions?

Your shareholder structure

  • How to reconsider your shareholding, especially in view shares with multiple voting rights?
  • Do your shareholder agreements need to be amended?
  • What are the latest developments with regard to general assemblies?

Your board

  • How to reorganise the management of your company: should you consider appointing a sole director or a supervisory board with executive committee?
  • Will the cap on director’s liability be effective?
  • How will the "alarm bell" procedure work within a BV now that there is no longer any "capital"?
  • What is new with regard to board meetings, in particular concerning rules on conflicts of interest?

Your investment - your exit (M&A)

  • What is the potential impact on new investors and how to create an optimal "exit"?
  • What remains of the prohibition of the Leonine Clause?
  • What are the new developments regarding an acquisition of own shares?
  • What about the new rules on financial assistance

We hope you can join us for this webinar.

A seminar on the subject will be held in February.
