Phillippe is a partner in the Corporate and M&A practice at CMS Belgium.

He advises clients on all aspects of corporate law, including mergers and acquisitions, corporate restructurings, equity issues, joint ventures, and private equity transactions in various sectors in both a Belgian and international context.

Philippe also advises on general corporate law matters, insolvency law aspects and corporate governance issues for listed and non-listed companies.

He has a law degree from the Catholic University of Leuven and studied one semester at the University of Toulouse 1 Capitole on an Erasmus scholarship. Philippe also holds a postgraduate master’s degree in Company Law from the Free University of Brussels and an LL.M in International Business and Commercial Law from King's College London (University of London).

  • Advising Karo Pharma, a consumer healthcare company and a portfolio company of the private equity firm EQT, on its €300 million acquisition of Sylphar, a Belgium-based over-the-counter products manufacturer, from private equity firm Vendis Capital and Robin List, Sylphar's founder.
  • Advising group Hameur on a partnership agreement with Ardian through which Ardian will take a majority stake in Robot Coupe and Magimix, the food processor and cooking accessories brands. *
  • Advising Caisse d'Epargne et de Prévoyance Hauts de France on the acquisition of Bank Nagelmackers. *
  • Advising Summit Partners, a global alternative investment firm, on the sale of CluePoints, a Belgium-headquartered cloud-based, AI-powered software platform used to identify and mitigate data quality risks in clinical trials.*
  • Advising General Mills, Inc. on its acquisition of Belgium-based premium pet food company 4 Healthy Pets NV, active throughout Europe and owner of the “Edgar & Cooper” brand.*
  • Advising Cobepa and Inflexion on their investment in Easyfairs, one of the world's leading events companies, alongside its founder Eric Everard.*
  • Advising Proemion Holding GmbH (majority owned and backed by Battery Ventures) with the acquisition and restructuring of the Belgian tech company Trendminer NV from Software AG.*
  • Advising Duco (majority owned and backed by Nordic Capital) on its acquisition of Belgium-based tech scale-up company, Metamaze BV.*
  • Advising Cary Group Group (a portfolio company of Nordic Capital and CVC Funds) on the acquisitions of Autoglass Clinic, Care4cars and Touring Autoglass.*
  • Advising H.C. Wainwright & Co. with the structuring of and investment by Armistice Capital Master Fund, a US-based hedge fund, in Mithra Pharmaceuticals, a Belgium-based listed company.*
  • Assisting Battery Ventures with the acquisition through its portfolio company AnalytiChem Holding GmbH of the Belgian based Chem-Lab Group, a Belgian leading group specialized in the production of tailor-made reagents.*
  • Advising CR-CP Life Science Fund, a Hong Kong-based venture capital firm, on its investment (Series B) in Novadip Biosciences, a clinical stage company developing treatments to regenerate impaired tissue in patients with significant unmet medical needs.*
  • Advising Cobepa SA on the acquisition of Corsearch, global leader in brand establishment and protection, based in New York, from US Audax Private Equity. Cobepa is investing alongside French private equity Astorg Partners.*
  • Advising global sponsor IK Investment Partners in connection with the acquisition of Innovad, a global supplier of animal health and nutrition solutions, in the context of a competitive auction process.*
  • Advising Cobepa on the reinforcement of its shareholding in International SOS in the context of the acquisition of a minority interest by FFP, an investment company listed on Euronext Paris that is majority-owned by the Peugeot family.*
  • Advising Swedish PE firm Ratos AB and holding company Bonnier Group on the divestment of Bisnode AB to Dun & Bradstreet. Ratos and Bonnier have signed an agreement to sell their entire holdings in Bisnode, excluding its business operations in Belgium, for an approximate enterprise value of SEK 7.2 billion.*
  • Advising global growth equity investor Summit Partners on the acquisition of a stake in CluePoints SA, a Belgian fast-growing provider of clinical trial management software.*
  • Advising OraSure Technologies, a US company listed on NASDAQ and a leader in the medical device industry, in connection with its acquisition of Novosanis NV, a Belgian company active in the medical device industry, initially founded as a spinoff company from the University of Antwerp.
  • Advising US listed company Arantana Therapeutics with the acquisition of OKAPI Science NV, a spin-off of the KULeuven, specialized in pet medicine.
  • Advising Johnson & Johnson in connection with a range of divestments through asset transactions.
  • Advising Delhaize on a cross-border merger with a Koninklijke Ahold NV and the subsequent implementation thereof.
  • Advising Delhaize in the sale of its brand Tom&Co, the specialist store chain for pet food and care, to investment group PetSerCo.
  • Advising Marsh in connection with the acquisition of a Belgian market leader in the same sector.
  • Advising two market-leading Belgian travel companies and their shareholders with the sale of 50% of the shares in both companies to a Belgian private equity fund.
  • Advising on the post-acquisition restructuring and streamlining of the activities of Belgian companies pertaining to an American international security group.
  • Advising Korys in connection with various investments in the equity Belgian and non-Belgian companies active in the energy sector. Advising a leading French group on the acquisition of a major player in the digitalization of the construction industry in the Benelux.
  • Advising a world leader of innovative and sustainable solutions across food, health, pharma and biotech industries in connection with its investment in a Belgian biopharmaceutical company focused on the discovery and development of innovative therapeutics.
  • Advising Guardsquare and its shareholders with an important investment by Battery Ventures.
