Katya Todorova is a senior associate and Head of Capital Markets at CMS Sofia. She is an experienced lawyer with more than 20 years of practice in securities and corporate law. Katya has extensive and diverse expertise in securities offerings, investment and financing, asset securitisation, tender offers and takeover bids, the licensing and operation of investment firms, asset management companies and common contractual funds.

Before joining CMS, Katya advised on the establishment and licensing of the first real estate investment trust in Bulgaria, the first investment company and its asset management company, the first Bulgarian project on a public company capital raising funds through a rights issue, the first IPO made on the initial public offering segment of the Bulgarian Stock Exchange, and the first division (split into two new companies) of a listed company in Bulgaria.

Katya has also advised on the establishment and licensing of a number of real estate investment trusts, more than 20 investment companies, UCITS management companies and common contractual funds. Katya has advised on numerous tender offers made to minority shareholders in public companies. In addition, she provides ongoing legal advice to investment firms, UCITS management companies and REITs. Before joining the CMS Sofia team, Katya was a partner for 17 years at another prominent law firm in Bulgaria.

Relevant experience

  • A Bulgarian real estate investment trust on a BGN 36 million rights issue and capital increase, including advising the issuer on structuring and timing issues, drafting the prospectus and obtaining the Bulgarian Financial Supervision Commission’s approval of the prospectus. 
  • A Bulgarian bank on EUR 36 million convertible bonds, qualifying as a second-tier regulatory capital.
  • A number of subsidiaries of the Bulgarian national tobacco company on mandatory tender offers and delisting.
  • The Bulgarian Telecommunications Company on a squeeze-out and delisting.
  • The finance parties to the energy projects Maritza East 1 and Maritza East 3 on the review and due diligence of the project, including on the finance and security documentation.
