CMS advises Merbag on the sale of locations in central Switzerland
Mercedes-Benz Automobil AG (MERBAG) and Fahrzeug-Werke LUEG AG (LUEG) have agreed that the German family-owned company LUEG takes over six MERBAG locations in central Switzerland, namely the three locations in Lucerne, the sale and service locations in Ennetbürgen and Sursee as well as the pure car body workshop in Emmenbrücke, with a total of approx. 200 employees. The sale encompasses the business operations including the employment relationships with all 200 employees. For the time being, MERBAG remains a minority shareholder and will assist with the integration into the LUEG group.
This transaction is a next step in MERBAG's successful internationalization, which is actively supported by Daimler AG. The MERBAG group, headquartered in Schlieren/Zurich, is not only the most important Mercedes-Benz dealer in Switzerland and one of the three largest employers in the Swiss automobile industry, but – following the acquisition and integration of locations in Milano, Italy, and Luxembourg – also a significant international dealer.
Fahrzeug-Werke LUEG AG is one of the larges sales and service partners of Daimler AG in Germany – with 17 Mercedes-Benz Center in the Ruhr area and in Saxony.
A team of CMS led by Stefan Brunnschweiler has advised MERBAG on all legal aspects of the transaction.
