The new Federal Act on the Transparency of Legal Entities (LTPM), which will come into force in autumn 2026, will establish a central register of ultimate beneficial owners of Swiss companies. This reform aims to strengthen corporate transparency and align Swiss legislation with international standards, while protecting individuals’ privacy. It imposes new obligations on companies and their shareholders to identify and report their beneficial owners, with penalties for non-compliance.
Jérôme Levrat, Partner and Co-Head of the Corporate M&A Department at CMS Geneva, examines the impacts of this reform in an article published in the Law supplement of Bilan magazine in March 2026.
