Enrique is head in the Banking & Finance Group at CMS Carey & Allende. He has extensive experience in all types of financing,  in particular syndicated loans, private debt, debt restructuring, project finance, bond issuance,  as well as advising on the banking regulatory framework for both Chilean and international clients.

With the growing impact of digital innovation in the field of financial services, Enrique has worked as a strategic advisor to FinTech companies and non-bank financial institutions, which need to develop and adopt products and services in all verticals such as electronic payment platforms and applications, virtual wallets, lending, digital factoring, blockchain and crypto-assets, as well as in the preparation of documentation of regulated entities to apply for their due registration with the Financial Market Commission.

In addition, and throughout his experience in the securities market, Enrique has advised companies in the issuance, registration and placement of publicly offered securities, and in the development and implementation of corporate governance practices, thus fostering security for potential investors.

Relevant experience

  • On*Net Fibra on the arrangement of USD 450 million in loans granted by a syndicate of financial institutions domiciled in New York and Chile, in connection with the acquisition of Entel Chile's fibre optic network. 
  • KKR on the financing of the purchase of 60% of the shares of the company operating Telefónica Chile's fibre optic network. The financing, for a total of USD 416 million, was arranged with a syndicate of banks led by Scotiabank Chile and currently included the Bank of Nova Scotia, Banco de Crédito de Inversiones, BTG Pactual Chile, Banco Consorcio, Banco Internacional and Banco Santander-Chile. The financing was governed by the laws of New York and Chile. 
  • Dreams on the negotiation, rescheduling and closing of a USD 152 million  syndicated credit facility granted by a syndicate of banks, the purpose of which was to finance its expansion plans within Latin America and other corporate purposes.
  • AKA Bank, a bank incorporated under the laws of Germany, on the negotiation and contracting of loans that were granted to Chilean companies in order to finance the acquisition of assets for the development of their business.
  • Galgo, a Fintech startup, on the formation of a private fund, which is managed by BTG Pactual Chile. Once the fund was formed, Enrique advised this entity on the negotiation and contracting of a credit line with Community EM Credit Fund S.C.A., SICAV-RAIF and a syndicate of banks.
  • Nevasa Administradora General de Fondos S.A. on the contracting of private debt, and on the restructuring of credit lines and other financing that were granted by funds managed by this entity.
  • Banco Aliado, a Panamanian banking institution, on the negotiation and closing of its first credit lines contracted with Chilean debtors, which amount to more than USD 10 million in loans granted and are regulated under local law.
  • Socer S.A. on the negotiation of project financing for three power generation plants in southern Chile, with Banco Bice as lender. Our role included the evaluation of the particular project conditions in relation to water rights and land use agreements, related to the guarantees to be granted as part of the project financing structure.
  • Sun International Limited on the negotiation, rescheduling and closing of a USD 61 million syndicated loan facility granted by Banco de Crédito e Inversiones, Itaú Corpbanca, Scotiabank Chile and Banco Santander-Chile.
  • Galgo on the negotiation and closing of a USD million credit facility with a foreign entity, which involved the creation of mezzanine investment vehicles, and which was regulated under the New York and Chilean law.
  • Dreams on the negotiation, amendment and placement of a USD 120 million bond issue, as publicly offered securities.

Enrique is a partner in the Corporate/M&A Group at CMS Carey & Allende. He has advised Chilean and international clients in M&A transactions, from conducting the respective due diligence and structuring of the investment vehicles, as well as in the drafting, preparation and negotiation of the respective applicable documentation.

He is also constantly involved in negotiations of asset sales, joint venture agreements, takeover bids, equity issues and debt restructuring, as well as advising all types of companies.

Enrique has experience in capital markets, investment funds,  distribution and placement of publicly and privately offered securities, and in general, in all matters relating to securities markets regulations. This experience includes the markets of Chile, Colombia, the US and the European Union.
 

Relevant experience

  • ON*Net Fibra (KKR) on M&A and financing in the USD 450 million acquisition of Entel Chile's fibre optic infrastructure, comprising the primary fibre-to-the-home (‘FTTH’) and distribution networks, and the primary fibre optic network for P2P services, including intangibles, a portfolio of 1.2 million homes
  • Banco Santander Chile on the purchase of 100% of the shares issued by Territoria Vespucio SpA, the owner of a property and the permits with which Santander will build its new corporate building. The transaction, valued at more than USD 350 million, involved a prior corporate reorganisation of Territoria Vespucio SpA, the restructuring of its debt, the procurement of municipal permits and the subsequent negotiation and sale of shares. 
  • Sonda S.A. on the sale of its subsidiary I-MED S.A. to ACCEL-KKR, a US investment firm focused on technology. I-MED S.A. is the largest medical technology services network in Latin America. The transaction included bank and seller financing. 
  • CyrusOne on the sale, in conjunction with Patria Investimentos, of a 100% stake in ODATA Chile S.A. to Aligned Data Centers. This transaction involved the sale of CyrusOne and Patria Investimentos' interests in ODATA's subsidiaries in Brazil, Chile, Colombia, Mexico and Uruguay.
  • Mérieux NutriSciences Chile on the acquisition of Viamed Technical Laboratory SpA, a laboratory specialised in the detection of drug residues and chemical contaminants in human food and animal feed and market leader in aquaculture. With this transaction, Mérieux expands its presence in the Chilean market of salmon farming and salmon feed producers.
  • PESCO on the sale of 51% of its shares and of its Peruvian subsidiary to a leading Chilean company in the vehicle and machinery markets. The advice included the sale of shares, the execution of shareholders' agreements and the restructuring of assets and liabilities of the client's subsidiaries. 
  • KKR on the acquisition of a 60% stake in Telefónica Chile's fibre optic network to create the first open access wholesale fibre optic infrastructure network available to all current and future telecommunications operators in Chile.  
  • Empresas Masvida on the corporate and equity restructuring of its subsidiaries, and on the subsequent sale of 51% of clinics and other health sector assets to Inversiones Valmar Limitada and Madesal S.A.
  • Grupo Cosemar on the corporate and equity restructuring of the entities that comprise this holding company, and on the subsequent sale of 100% of its operations in Chile.
  • Sun Dreams on the acquisition of the operation sof Thunderbird Resorts Inc. in Peru, as part of its expansion plan in Latin America.
  • Ramondin on the acquisition of Inesa Chile (a subsidiary of Corpora S.A.), a leading screw cap company in South America, and on the bank financing of this acquisition. 
  • BAC Engineering Consultancy Group, S.L. on the restructuring of assets and liabilities of its subsidiaries in Chile and on the subsequent sale of control of IN3 BAC SpA to IN3 Inversiones Chile SpA. The transaction included a repurchase option for the seller.
