CMS advises Klöpfer & Königer on sale of stake in Surteco Group

Munich – Klöpfer & Königer Management GmbH has sold its holding of around 15.7% of the share capital of listed Surteco Group SE to the Schürfeld Group. The parties agreed not to disclose the purchase price. The deal is expected to complete in January 2021.

The acquisition will enable the Schürfeld Group to increase its existing stake in Surteco Group SE to around 20.34%. The purchase agreement will be completed after the pool commitment for the sold shares has expired and the required approvals from the competition authorities have been granted.

A CMS team headed by lead partner Dr Martin Kuhn advised the Klöpfer & Königer Group on all legal aspects of selling the shares.

Klöpfer & Königer Management GmbH is part of the Klöpfer & Königer Group, which is based in the Bavarian town of Garching. Its business activities involve holding a range of asset classes. These include Klöpferholz GmbH & Co. KG in Garching, with a tradition going back more than 100 years in the timber trade and associated logistics, as well as related consulting and services in the timber sector.

Hamburg-based Schürfeld Group is a mid-sized group of companies. In addition to Surteco Group SE, it holds stakes in a number of firms and technology start-ups.

Surteco Group SE, headquartered in Buttenwiesen, Bavaria, is the holding company of a group of complementary firms in the international furniture, flooring and wood-based industry. According to the company’s own figures, sales totalled around EUR 675.3 million in the 2019 financial year. The Group’s shares are traded on the Prime Standard of Frankfurt Stock Exchange, among other venues.
