CMS brings sale of Uckermärker Milch GmbH to successful conclusion

Berlin - With effect from 1 January 2015, there will be a change in the shareholder structure of Uckermärker Milch GmbH, a medium-size dairy processor based in Prenzlau. The Swiss HOCHDORF Group is acquiring 60% of the shares, which are currently held by two regional and one Polish dairy producers/processors. 40% of the shares will remain with Ostmilch Handels GmbH, which is an existing shareholder. HOCHDORF is in turn taking a 26% stake in the Ostmilch Group. The transactions are currently awaiting approval from the competition authorities and are subject to the usual closing conditions. The purchase prices were not disclosed.

A CMS Hasche Sigle team led by Dr Wolf-Georg Freiherr von Rechenberg advised all the Uckermärker Milch selling entities and the Ostmilch shareholders on all legal aspects of the transaction. Support was provided for all the separate transactions, which also had to be reconciled with Swiss and Polish law.

Uckermärker Milch processes up to 1,000,000 kg of milk a day into curd, butter and dry milk products. The products made at the plant are sold in both domestic and international markets. Ostmilch Handels GmbH, with offices in Berlin and Bad Homburg, is an international distributor of milk products which handles an annual trade volume of around EUR 340 million. HOCHDORF Holding AG is a leading Swiss manufacturer of foodstuffs made from milk and cereals with sales of more than EUR 300 million in 2013. The company has been producing baby food since 1908. The acquisitions are aimed at expanding its production and distribution capacity in this segment.
