CMS advises Nivi S.p.A. on its acquisition by Safety21

BU Bregal Unternehmerkapital, the largest mid-cap investor headquartered in the DACH region (Germany, Austria and Switzerland), has completed another consolidation transaction in Italy. Its portfolio company Safety21 S.p.A., a leading Italian GovTech platform providing end-to-end enforcement and road safety services, has announced that it has entered into a binding agreement, through its subsidiary Ge.Fi.L. S.p.A., to acquire 100% of Nivi S.p.A., a Florence-based company with 65 years of experience in credit management and debt collection services for public administrations and motorway concessionaires, and one of Italy’s leading providers of international notification and collection services for administrative fines.
The acquisition of Nivi further strengthens Safety21’s market position by expanding the Group’s international debt collection capabilities and completing an integrated offering that covers the entire enforcement lifecycle, supporting more than 700 local authorities. Completion of the transaction is expected by year-end and remains subject to the approval of the relevant authorities.
CMS advised Nivi with a team comprising Partners Pietro Cavasola, Italo de Feo and Giacomo Cavasola, together with Associate Rocco Viggiano.
