The law firms involved in Dronus’s €15 million Series A round

Dronus S.p.A., an innovative SME specializing in the design and production of automatic drones for industrial use and the first company to have developed and patented NEST® - a technology enabling an autonomous aerial infrastructure for inspection and monitoring activities - has completed a €15 million Series A round led by Algebris Investments. The capital raised will support the completion of the development of the NEST® technology and the company’s commercial expansion.

Dronus S.p.A. and its shareholders were advised throughout the entire transaction by CMS Italy, with a team coordinated by Partner Paolo Bonolis and composed of Counsels Danilo Festeggiato and Emanuela Di Muzio, Partners Paola Nunziata and Stefano Giuliano - respectively for IP and Tax matters - and Junior Associates Gaetano Luca Bonolis and Alessandro Soleri, supported by the company’s in-house counsel Tommaso Fidelio. The firm assisted in the negotiation, structuring and execution of the investment agreement, all related corporate formalities and shareholders’ agreements, as well as matters connected to the NEST® patent.

LCA Studio Legale, with its Emerging Company and Venture Capital team led by Equity Partner Andrea Messuti and composed of Senior Associate Flavia Visco, Mid-Level Associates Maria Flora Cafiero and Carlo Filippo Bertero, and Trainees Gianmarco Pacini and Francesca Mana, advised lead investor Algebris and co-investors CDP Venture Capital and SIMEST throughout all phases of the transaction. Their assistance covered, among other aspects, the negotiation, structuring and execution of the investment agreement, as well as all related corporate and shareholders’ matters. LCA also handled the employment law aspects of the transaction with a team composed of Equity Partner Ranieri Romani, Senior Associate Zuleika Palma and Associate Arianna Basso, and advised on intellectual property matters with a team led by Equity Partner Giulio Vecchi. Additionally, Equity Partner Andrea Carreri and Senior Associate Francesco Doria Lamba of LCA assisted the lead investor with the golden power authorization process.

Eni Next, another co-investor in the round, was advised by Dentons, with Equity Partner Barbara Urselli, along with in-house counsel Davide Alesso, Legal Manager at Eni Next, and Pietro Stella, in-house counsel at Eni S.p.A..
