Daniela works as an associate at CMS México, focusing on Corporate / M&A practice. She regularly advises domestic and international clients on mergers and acquisitions, corporate governance, and general corporate matters, demonstrating continuity in the practice and strong involvement in transactional work.

Daniela plays an active role in M&A transactions, supporting due diligence processes, drafting and negotiating transaction and ancillary documents, and coordinating with multidisciplinary teams. She is also involved in advising corporate clients on day-to-day legal matters, including corporate compliance and commercial agreements, and is recognized internally for her reliability and responsiveness.

Prior to joining CMS Mexico, Daniela gained experience at a leading Mexican law firm, where she developed a solid foundation in corporate law and transactional support across a variety of industries.

Relevant experience

  • Assisting Garrett Motion on ongoing corporate matters in Mexico, including support in connection with the internal corporate reorganization of the group following its global restructuring, with a focus on its Mexican entities and day-to-day corporate operations, in coordination with CMS offices in other jurisdictions.
  • Advising PDC Energy, a Guatemalan company, on the sale of PDC Energy México, an energy wholesale retailer (comercializadora no suministradora) under the Mexican Electric Industry Law, to Electric Power Markets, a Panama-based company, including regulatory advice and support in connection with authorizations from the Energy Regulatory Commission as conditions precedent to closing.
  • Advising Winkelmann on the sale of 100% of its equity interest in Winkelmann Powertain México, S. de to Sanoh Industrial Co., Ltd. and Sanoh Industrial de México.
  • Advising Zvoove Group, Europe’s leading SaaS provider for the temporary employment and related industries, throughout the two phases of its acquisition of Freematica, a Spain-based ERP software company with operations in Mexico and Colombia.
  • Advising Advance Publishers Inc. on the management buy-out of its Mexican subsidiary, Search Optics Mexico, including the execution of multiple agreements to unwind all legal, financial, and operational ties between the Mexican entity and the Advance Group, as well as a debt remission agreement to extinguish intra-group obligations.
