Diego Hagemann is an associate at CMS Mexico, where his practice focuses on corporate, financial, Real estate, and transactional matters, with experience in mergers and acquisitions, project finance, and capital markets. He, regularly advises domestic and international clients on the structuring, negotiation, and execution of complex transactions, including acquisitions, financings, debt issuances, and Real estate deals, and has been actively involved in drafting and negotiating civil, commercial, financial, and trust agreements, as well as implementing security structures. Diego has coordinated due diligence processes for financing and acquisition transactions and supported transactional closings, in addition to advising on corporate matters such as incorporations, reorganizations, and corporate governance. His experience also includes regulatory matters before Mexican financial authorities, including the National Banking and Securities Commission (CNBV), the Ministry of Finance (SHCP), and the Central Bank of Mexico (Banxico), as well as exposure to cross‑border regulatory matters involving the U.S. Securities and Exchange Commission (SEC). He has participated in the origination of a de‑SPAC business combination valued at approximately USD$1.2 billion, as well as a USD$300 million bond issuance.
