Terese Hallén-Hasaas heads the Tax and Duties practice at CMS Kluge. She combines extensive experience as a tax lawyer with practical experience as an owner, CEO and chair of the board of a family-owned trading and investment business. This has given her a unique understanding of the interplay between tax, ownership and business operations. She is committed to finding solutions that are legally sound, practically feasible and commercially advantageous for the client.

Terese assists companies and owners with tax and company law issues, particularly in connection with reorganisations, transactions and changes to ownership structures. She has extensive experience in areas including mergers and demergers, tax-free conversions, the establishment and adaptation of holding structures, equity transactions, the purchase and sale of businesses, shareholders’ agreements, and incentive and partnership schemes.

She has particular experience in the property sector and assists, amongst other things, with changes of ownership, reorganisations and transactions, as well as the adaptation of corporate and financing structures to facilitate efficient financing and capital flow. She also advises on Norwegian corporate structures in connection with investments in property abroad.

Drawing on her background in family-owned businesses, Terese frequently assists family businesses and their owners with the planning and implementation of generational succession. She designs ownership and corporate structures that take tax considerations into account whilst facilitating an appropriate distribution of ownership, control and financial rights across the generations. Her advice often includes establishing a legal safety net for the owners and their families, including through enduring powers of attorney, wills, prenuptial agreements, articles of association and shareholders’ agreements.

Terese is comfortable with working closely with the client’s auditor, accountant and other advisers. She places great emphasis on considering legal and tax issues in the context of the client’s commercial objectives and practical needs.
