CMS advises on WSE bond issue

CMS advised the Warsaw Stock Exchange on the public issue of series D and E 5-year bonds (the series D bond offer was addressed to institutional investors, while the series E bond offer was addressed to individual investors).

The total nominal value of the bonds of both series amounted to PLN 120m. CMS was a legal advisor to the issuer, responsible for corporate matters related to the bond issue, drafting of the entire prospectus, the prospectus approval procedure at the Financial Supervision Authority as well as the introduction of the bonds to trading.

At the same time, the fact that CMS was chosen as the firm providing advice in relation to a public bond offer confirms the growing position of CMS as regards debt security issue procedures,” said Rafał Woźniak, counsel at CMS.

The team of CMS lawyers engaged in the project was headed by Rafał Woźniak, PhD, supported by lawyers Magdalena Trzepizur and Małgorzata Wdowczyk. The project was supervised by partner Michał Pawłowski, PhD, Head of the CMS Capital Markets Practice for the CEE.

Last year CMS lawyers provided advice in relation to a number of private bond offers and public offers of such companies as i2 Development and Dom Maklerski X-Trade Brokers S.A. In 2016 CMS was one of the most frequently chosen legal advisors as regards such procedures.

The growing position of CMS lawyers who specialise in capital markets is confirmed by the good results achieved by the team in the prestigious Legal 500 ranking, focusing on the legal services market in Poland. The CMS Capital Markets Practice, which in 2016 was for the first time included in the ranking, was straightaway qualified as high Tier 2 by Legal 500. Moreover, in the recently published Chambers Global and Chambers Europe rankings the team members were recommended inter alia in the area of capital markets.
