Jakub Wieczorek is a Partner in the Banking & Finance Department at CMS.

Jakub specialises in banking and financial law, in particular acquisition financing, corporate financing, asset and project financing as well as property financing. He has regularly participated in complex financing transactions, both on the lenders’ side, representing the largest Polish and foreign banks, and on the borrowers’ side, advising Polish and foreign listed companies, real estate funds, private equity funds and private investors. His experience includes drafting and negotiating standard LMA facility documentation, including loan agreements, intercreditor agreements, mandate letters and term sheets. He also advises on regulatory issues.

Relevant experience

  • A group of banks on operating as project finance providers to a joint venture created by the world’s largest steel producer and the largest electricity distributor in Poland.
  • A Polish bank in connection with investment financing granted to a leading producer of heat and energy in the Zagłębie Dąbrowskie region.
  • A Polish bank on refinancing the debt of a leading supplier of materials for the construction of a railway.
  • A Polish bank on financing a private equity fund’s acquisition of shares in one of the largest European companies that produces prefabricated wooden houses.
  • An Austrian bank on refinancing the debt of a company dealing in bottling and distributing water in Romania, controlled by a private equity fund.
  • A leading mezzanine fund in connection with mezzanine financing granted for the acquisition of a minority stake in an independent operator of radio and television terrestrial broadcast infrastructure in Poland.
  • A five-star Warsaw hotel on refinancing debt owed to a Polish bank.
  • A Polish bank on the refinancing of a real estate complex in Warsaw.
  • A leading developer on financing the construction of an A-class office building in Warsaw, with an area of approximately 28,000 square metres.
