Kamila Singer is a senior associate in the Banking and Finance Department at CMS.

She specialises in banking, civil and commercial law. Her experience encompasses drafting court briefs, contracts, legal opinions and memoranda as well as preparing legal analyses in the field of banking & finance.

She participates in financing transactions including among other things drafting and negotiation of loan documentation and supervising fulfillment of conditions precedent. She has also assisted in due diligence investigations relating to corporate and real estate matters.

Kamila has been involved in many projects related to financing the acquisition or construction of properties, representing both leading Polish and foreign banks as well as borrowers. She has advised foreign companies in a number of transactions on Polish law issues related to their Polish subsidiaries and securities established by their subsidiaries.

Prior to joining CMS, Kamila gained professional experience in other international law firms such as Dentons, Linklaters, Baker & McKenzie and Chadbourne & Parke.

Relevant experience

  • A major real estate investment management firm, as borrower, in relation to the financings of two office buildings in Warsaw and a retail complex in Elblag, and refinancing of existing loan granted by foreign bank.
  • A foreign bank in connection with a loan granted to six Polish companies to finance the purchase of a portfolio of 39 properties throughout Poland.
  • A Polish bank in negotiations and drafting loan documentation connected with financing the construction of a hotel in Wrocław.
  • A Polish investment fund in connection with financing the acquisition of a Polish company (transfer agent).
  • A leading Polish bank in connection with financing the construction of an office and service investment located in Warsaw.
  • Foreign companies in a number of transactions on Polish law issues related to their Polish subsidiaries.
  • Leading Polish banks in numerous projects for financing residential, commercial and office developments.
  • Financial institutions in a number of transactions, including drafting Polish law security documents, drafting Polish law legal opinions and verification of the conditions precedent for loan disbursement.
