Katarzyna Mazur is an attorney-at-law and senior associate in the Banking and Finance practice at CMS.

She advises banks and other financial institutions, as well as borrowers and lenders, at all stages of financing transactions. Her practice encompasses Polish and cross-border financing projects, in particular in the area of project finance (with a particular focus on the renewable energy market, including in the auction support system and based on PPAs) and acquisition financing.

Katarzyna is involved in conducting financing transactions, and her experience includes drafting and negotiating financing documentation, including loan and credit agreements and collateral documents, as well as coordinating and supervising the process of collecting and verifying documents constituting conditions for disbursement.

She also participates in debt sale processes (including NPLs), as well as private securitisation projects.

Prior to joining CMS, she worked in the transactional team of Dentons law firm. Before that, she also gained experience in regulatory advice in the areas of banking, insurance and personal data at Deloitte Legal.

Relevant experience

Experience gained prior to joining CMS:
  • P Capital Partners: advising the fund in connection with a loan granted to the Swiss company SUSI Partners to finance the construction of a portfolio of photovoltaic projects with a total capacity of up to 167 MW.
  • Consortium of Banks: advising the EBRD, PKO BP and Pekao S.A. in connection with the financing provided to Goldbeck Solar and Respect Energy for the construction of a photovoltaic farm with a target capacity of approximately 286 MW in Zwartowo.
  • Qair: advising a sponsor in connection with obtaining syndicated loans for the construction of wind and photovoltaic projects in Poland.
  •  Cornerstone Investment Management: advising the fund on the financing of the acquisition of Ecowipes (lead counsel);
  • Cornerstone Investment Management: advising the fund on the financing of the establishment of a Polish-Dutch food holding company (lead counsel);
  • Resource Partners: advised the fund on the acquisition of a majority stake in Nesperta (brand: Semilac).
  • Extreme Emotions: advising a Polish co-producer on the financial aspects of the production of the Oscar-winning film ‘Zone of Interest’.
  • Bank Gospodarstwa Krajowego: advising the bank on the financing of a public-private partnership project in the education sector;
  • Foreign bank: advising the bank on financing in the form of a private sub-participation agreement.
