Maciej Plusa is an associate in the Banking and Finance practice at CMS Poland.

He specialises in banking and finance law, with a particular focus on debt capital markets, bond issuances and acquisition, real estate and corporate finance transactions.

His experience includes advising issuers, investors and financial institutions on public and private bond issuances, including the preparation and negotiation of programme agreements, terms and conditions of bonds, security documentation, intercreditor arrangements and related transaction documents. He regularly assists clients with the implementation, amendment and restructuring of bond financing structures, as well as with transaction execution and closing processes.

Maciej has participated in a broad range of domestic and cross-border financing transactions, including real estate, infrastructure and corporate finance projects. He also has experience supporting clients in complex refinancing and restructuring processes. His work covers the preparation of financing documentation, legal opinions, corporate approvals and legal due diligence reports.

Prior to joining CMS, Maciej gained professional experience at a Warsaw-based law firm specialising in finance transactions.

Relevant experience

  • Grupa Azoty and certain of its subsidiaries on restructuring of their PLN 10bn existing financing with the club consisting of 13 international, Pan-European and Polish financing institutions.
  • Bank Gospodarstwa Krajowego on its debut JPY 93bn issuance of samurai bonds with a nominal amount of JPY 93bn on the Japanese market. The issue proceeds were used to help citizens of Ukraine in relation to the armed conflict in that country. The bonds are secured by a guarantee from the Polish State Treasury and a guarantee issued by the Japan Bank for International Cooperation and they were offered by a consortium of Daiwa Securities Capital Markets and Nomura.
  • Bank Pekao S.A. and Bank Gospodarstwa Krajowego on amending an existing bond issue programme established by Tramwaje Śląskie. The advice included increasing the maximum amount of the programme to PLN 764.4m, and on issuing the first two series of bonds after the programme change, with a total value of PLN 268.4m. The funds raised from the issuance were to be used to improve the quality of public transport and were to make a significant contribution to the sustainable socio-economic development of the region.
  • mBank S.A. (acting as Organiser, Dealer and Agent) and Dom Development S.A. as issuer on its bond issuance under the PLN 400m programme, including the Series DOMDEM2040331 issue. The offering was addressed exclusively to qualified investors under the Prospectus Regulation exemption. The work covered updating the programme documentation, preparing and negotiating the Polish-law governed Terms and Conditions of Issue, coordinating investor communications and settlement through KDPW, with the bonds targeting admission to the ASO market.
  • mBank S.A. (acting as Dealer/Organiser and Agent) on Cognor S.A.'s domestic bond programme with issuance capacity of up to PLN 240m, including the series 1/2024 and 2/2024 notes offered to qualified investors under the Prospectus Regulation exemption and targeted to professional clients under MiFID II, with admission to trading on GPW's ASO market. The work covered preparation of the information memorandum, GPW/KDPW applications, book-building documentation, bank-side legal opinions and CP confirmations, as well as a subsequent 2025 workstream involving amendment of bond conditions and security through bondholders' meetings, re-papering of security and enforcement statements, and coordination of third-party consents.
  • EBRD on a multi-jurisdictional green municipal bond development project, providing Polish and Romanian law advice on establishing a framework for the issuance of green bonds by municipalities. The work covered preparation of legal memoranda addressing regulatory, financial-markets and municipal-governance aspects of green bond issuance, review of a Framework Improvement Report, drafting of model conditions-precedent lists, and coordination with municipalities, commercial banks, metropolitan authorities and international consultants, including organisation of stakeholder workshops in Poland.
