CMS advises Capiton/CymbiQ on the sale of ISPIN AG and Koch IT AG
CymbiQ Group AG, a portfolio company of Germany private equity investor capiton, has sold its 100% shareholdings in ISPIN AG, Bassersdorf, and Koch IT AG, Winterthur.
ISPIN AG specializes in cybersecurity and information security and has excellent knowledge and broad solution and specialist expertise in the areas of business security consulting, innovation, system integration, and managed security services. In Switzerland's most modern Cyber Defense Center, ISPIN AG and its 40 employees operate and monitor their clients' infrastructures 24/7. Over 150 mostly long-standing clients from all areas of the economy have relied on ISPIN AG's services for many years.
Koch IT AG is successfully established as an engineering company. The system integrator and software manufacturer builds customized software for security-sensitive areas and highly secure infrastructure. 25 employees have implemented over 550 projects for SMEs and public authorities to date.
With the acquisition of the two companies, Adnovum expands its current cybersecurity offering with a Swiss-based Security Operating Center (SOC) that is well established in the market. In addition, it strengthens its expertise and capacities in managed security services and system engineering as well as in the development of customized software. Adnovum is also able to expand its portfolio on the client side, including in the energy and financial sector as well as in the public sector.
A team of CMS led by Dr Daniel Jenny (Partner) and Florian Jung (Senior Associate, both Corporate/M&A) advised the seller on all legal aspects of the transaction, marking the fifth collaboration of this deal team. The team also included Dr Alexander Salamon (Associate, Corporate/M&A), Mark Cagienard (Partner, Tax) and Dr Kaspar Landolt (Partner, Banking & Finance) of CMS Switzerland as well as Patrick Lühr (Partner) and Anna Schäfer (Senior Associate, both Corporate/M&A) of CMS Germany.
