CMS advises SIX listed Youngtimers AG on its successful CHF 49.7 million capital increase

CMS advised Youngtimers AG (SIX: YTME), a Swiss-listed holding company with subsidiaries active in the asset management field, focusing on private market investments across the Asia-Pacific region, on its successful ordinary capital increase in an aggregate amount of CHF 49,733,568.36. The capital increase involved three tranches, a contribution in kind of shares of Hong Kong-listed DL Holdings Group Limited, a contribution by way of set-off of the group's liabilities from a bond and an in-cash contribution.

We provided comprehensive legal advice on the corporate, capital markets and regulatory aspects of the transaction, including the drafting of the listing prospectus, and acted as listing agent. CMS also supported Youngtimers AG in the negotiations and on the agreements with DL Holdings Group Limited and the creditors setting-off their claims in the capital increase.
