CMS advises digital full-service insurer Coya on merger with insurtech company Luko

Munich – European insurtech company Luko, based in Paris, is acquiring German startup Coya, based in Berlin, in order to grow its European presence and get an insurance license from German regulators. By merging Coya into Lukoʼs ecosystem of insurance and services around customers homes, the Luko Group becomes a neo-insurer for more than 300,000 people. The merged company will become a new full-stack insurance company across Europe. Coya will be renamed Luko Insurance AG and will retain its headquarters in Berlin, with other Luko Group offices in Paris and Madrid. The current Management and investors of Coya AG will remain active. All parties involved have agreed not to disclose any details of the transaction. 

An international CMS team led by Dr Tilman Weichert in Germany and Benoit Gomel in France provided comprehensive legal advice to Coya and its shareholders in the course of the merger. A particular focus of the advice was on cross-border related issues.
