CMS Bureau Francis Lefebvre advises Banks on Pragma Capital's acqusition of a Majority Stake in the Capital of TVH Consulting

CMS Bureau Francis Lefebvre has acted as counsel to banks (Société Générale, Banque Populaire Val de France and LCL) in Pragma Capital's acquisition of a majority stake in the company, TVH Consulting.

The transaction, completed through the Pragma III fund, was conducted alongside the management team and its founder as part of a management buy-out, coupled with the set-up of mezzanine financing.

Founded in 2003, TVH Consulting is an independent international company specialising in consulting, implementation, integration and hosting of major ERP solutions. Pragma Capital is an investment company specialising in French SMEs, supporting them in financing and accelerating their growth, especially through international build-up and roll-out strategies.

For this transaction, the CMS Bureau Francis Lefebvre team advising the banks consisted of Benjamin Guilleminot (counsel) and Sadri Desenne-Djoudi for financing matters and Jean-Charles Benois (counsel) for tax matters.

The other legal advisors were Marvell for the purchaser, Fieldfisher for the mezzanine lenders and LL Berg, Luther Luxembourg and Atoz Luxembourg for the vendor.
