CMS Bureau Francis Lefebvre advises IM Square on two New Investments in France and the United States

24/11/2016

CMS Bureau Francis Lefebvre was the advisor to iM Square on financial regulation issues for two new investments in France and the United States.

iM Square, the leading European investment and development platform dedicated to asset management, has acquired a substantial minority holding in Dolan McEniry Capital Management ("Dolan McEniry Capital"), an independent management company based in Chicago specialising in the management of US investment grade and high-yield bonds.

In parallel, iM Square is making its first investment in Europe, by acquiring the entire capital of French management company Montmartre AM, subject to AMF approval. iM Square will rename the company iM Global Partner Europe to make it a Europe-wide commercial development platform. This strategic decision is supported by regulatory changes announced by the AMF and the AFG in favour of the Paris financial market.

As a result, iM Square plans to:

  • strengthen its teams and develop the management company's technical resources;
  • expand the existing range of short-term bond funds;
  • create funds under French law, with management delegated to its partners.

These two investments mark an acceleration in the development of iM Square, which was created in June 2015 in London by Philippe Couvrecelle and the founding shareholders: Amundi (the European leader in asset management), Eurazeo (one of the first listed investment companies in Europe) and the Dassault Group/La Maison (investment group in which Dassault Group is the main shareholder). iM Square aims to invest €250m over the next three years via five to seven investments, mainly in the United States, but also in Europe and Asia, in high-growth entrepreneurial management companies which are already mature, profitable and recognised in their local market.

The CMS Bureau Francis Lefebvre teams which advised iM Square on financial regulations comprised Jérôme Sutour, partner and Damien Luqué, associate.

iM Square's other advisors were: Cazals Manzo Pichot (Romain Pichot, associate) for tax aspects and legal coordination of the transaction, Seward & Kissel LLP (James E. Abbott, James C. Cofer and Craig A. Sklar, associates, Gerhard Anderson and Dora Pulido, associates) for US law and Sekri Valentin Zerrouk (Géraud de Franclieu, associate and Jean-Matthieu Constant, associate) for corporate law.
