CMS assisted multinational Melitta Group Management GmbH & Co. KG in the acquisition of the entire share capital of Cuki Group S.p.A. (“Cuki”); market leader in Italy for food packaging operating under the Cuki® and Domopak® brands.
In 2017, Cuki had a turnover of over 200 million Euro (over a fourth earned internationally) and currently employs over 503 people, 376 of which are employed in Italy. The transaction is expected to be completed in the coming months, upon approval of the competent Competition Authorities.
Gruppo Melitta was assisted by CMS with a multidisciplinary team led by Partner Dietmar Zischg together with Counsel Francesco Sabatino and Associate Alessandro Sassone. Francesca Sutti, Partner, followed Antitrust aspects and Partner Mauro Battistella provided assistance with regards to finance. The tax and labor law aspects of the transaction were analyzed respectively by Partner Federico Raffaelli and Senior Associate Giulia Camilli.
Melitta is an international company with over 110 years of history and a global turnover of over of 1,54 billion Euro (2017). The company is a leader in the production and distribution of coffee-related products, food conservation products and household detergents. As part of the transaction, BonelliErede assisted the majority shareholder and CEO of Cuki, Corrado Ariaudo, in the sale of his stake and in the negotiation of a series of ancillary agreements with a multidisciplinary team composed of Partners Umberto Nicodano and Stefano Micheli, Senior Associate Luca Del Nunzio and Associate Fabio Saguato. Francesco Anglani, Partner, and Giorgio Bitonto, Senior Associate, oversaw the antitrust aspects; Antonio La Porta, Partner, followed financing aspects and Partner Riccardo Ubaldini, together with Managing Associate Giulio Mazzotti, dealt with fiscal aspects of the transaction. Senior Counsel Arianna Colombo assisted with regards to labor law aspects.
