Edra acquires a majority stake in Xplainers: Orrick and CMS the firms involved

Orrick advised Edra S.p.A, a leading Italian company in healthcare and health communication and knowledge and which is part of the LSWR Group, in the acquisition of a majority stake in Xplainers S.r.l., this one assisted by CMS.

Xplainers is an EdTech company that provides university career guidance and preparation for university admission tests, in particular for the Medicine degree course, with textbooks and online courses. It operates through two brands: Pro-Med, for the Medical-Health area and WeTest, for the other areas.

Orrick advised Edra with special counsel Anna Spanò, assisted for IP aspects by Prof. Michele Bertani, special counsel.

CMS assisted Xplainers with a team composed by lawyers Edoardo Marangoni and Giacomo Cavasola and the tax advisor Gaetano Buffone.
