Corporate/M&A | Counsel

To support the continued growth and development of our Corporate/M&A practice, we are looking for a highly experienced and business-minded Counsel to join our Luxembourg team.

Beyond a senior legal position, this role offers the opportunity to help shape the future growth of a leading Corporate/M&A practice within an ambitious and entrepreneurial partnership, while further developing your client relationships, market profile and long-term career.

You will become part of a highly regarded and expanding Corporate/M&A team led by 2 Partners and composed of approximately 15 lawyers and professionals, working on sophisticated transactions in a collaborative, international and highly dynamic environment.

Your responsibilities

As Counsel, you will take a leading role in the management and delivery of complex Corporate/M&A matters. Your responsibilities will include:

  • Advising domestic and international clients on complex M&A transactions, private equity investments, joint ventures, strategic alliances, corporate restructurings and governance matters;
  • Leading significant transaction workstreams and ensuring high-quality delivery throughout the transaction lifecycle;
  • Drafting, reviewing and negotiating sophisticated transaction documentation, including share purchase agreements, shareholders’ agreements, investment agreements, merger documentation and related corporate documents;
  • Providing strategic legal advice to clients on corporate governance, shareholders’ issues, board matters, fiduciary duties, corporate reorganisations and general company law matters;
  • Coordinating cross-practice teams involving Tax, Funds, Banking & Finance, Employment, Regulatory and other specialists;
  • Managing multi-jurisdictional projects in close cooperation with CMS offices and external counsel;
  • Acting as a trusted point of contact for clients and developing strong, long-term client relationships;
  • Supervising, mentoring and supporting the development of associates and junior lawyers;
  • Ensuring efficient team organisation, matter management and delivery standards;
  • Contributing actively to the strategic development and visibility of the Corporate/M&A practice.
  • Participating in business development initiatives, pitches, client events, publications and thought leadership;
  • Supporting the partners in the growth, positioning and management of the practice;

Your profile

  • You hold a Master’s degree in Law;
  • You are admitted to the Luxembourg Bar;
  • You have significant experience in Corporate/M&A within a leading Luxembourg or international law firm;
  • You have a strong track record advising on complex domestic and cross-border transactions;
  • You are able to manage matters with a high degree of autonomy and responsibility;
  • You possess excellent drafting, negotiation, client management and project management skills;
  • You combine technical excellence with a pragmatic, commercial and solution-oriented approach;
  • You have strong interpersonal skills and are comfortable advising senior client stakeholders;
  • You demonstrate leadership, sound judgement and the ability to guide and develop junior team members;
  • You are keen to contribute to the strategic growth and market visibility of the practice;
  • You are fluent in English and French, both written and spoken;
  • Knowledge of German and/or Luxembourgish would be considered an asset.
