Corporate/M&A | Managing Associate

To support the continued growth of our Corporate/M&A practice, we are looking for a talented and ambitious Managing Associate to join our team in Luxembourg.

You will become part of a highly regarded and expanding Corporate/M&A team led by 2 Partners and composed of approximately 15 lawyers and professionals, working on sophisticated transactions in a collaborative, international and highly dynamic environment.

Your responsibilities

As a Managing Associate within our Corporate/M&A team, you will be involved in a broad range of corporate and transactional matters, including:

  • Advising domestic and international clients on mergers and acquisitions, private equity transactions, joint ventures, strategic alliances and corporate restructurings.
  • Supporting clients throughout the entire lifecycle of transactions, from structuring and legal due diligence to negotiation, signing and closing.
  • Drafting, reviewing and negotiating transaction documentation, including share purchase agreements, shareholders’ agreements, investment agreements, board and shareholder resolutions and ancillary corporate documents.
  • Advising clients on general corporate law matters, corporate governance, shareholders’ rights, corporate housekeeping and day-to-day company law issues.
  • Coordinating legal due diligence processes and working closely with Tax, Funds, Banking & Finance, Employment and Regulatory teams.
  • Participating in client meetings, conference calls, negotiations and transaction management processes.
  • Collaborating with CMS teams across multiple jurisdictions on cross-border transactions and international projects.
  • Preparing legal analyses, memoranda and practical, business-oriented advice tailored to clients’ objectives.
  • Managing workstreams with an increasing degree of autonomy.
  • Supporting junior lawyers and contributing to the sharing of knowledge within the team.
  • Contributing to business development initiatives, publications, client alerts and internal know-how projects

Your profile

  • You hold a Master’s degree in Law.
  • You are admitted to the Luxembourg Bar, or are in the process of obtaining admission.
  • You have solid experience in Corporate/M&A gained within a leading Luxembourg or international law firm.
  • You have been involved in domestic and cross-border transactions and are familiar with transaction management processes.
  • You possess strong technical, drafting, analytical and organisational skills.
  • You demonstrate sound legal judgement, attention to detail and a pragmatic, solution-oriented mindset.
  • You are proactive, reliable and able to manage several matters simultaneously.
  • You enjoy working as part of a team and are comfortable interacting directly with clients and colleagues.
  • You are keen to develop your technical expertise, client exposure and autonomy.
  • You are fluent in English and French, both written and spoken.
  • Knowledge of German and/or Luxembourgish would be considered an asset.
