Corporate/M&A | Senior Associate

To support the continued development of our Corporate/M&A practice, we are looking for an experienced and driven Senior Associate to join our Luxembourg team.

You will be part of a team led by 2 Partners and composed of approximately 15 lawyers and professionals, offering a strong platform for client exposure, autonomy, team contribution and career development.

Your responsibilities

As a Senior Associate, you will play a key role in the management and execution of complex corporate transactions. Your responsibilities will include:

  • Advising domestic and international clients on M&A transactions, private equity deals, joint ventures, strategic alliances, corporate restructurings and general corporate law matters;
  • Leading or actively managing transaction workstreams, from structuring and due diligence to negotiation, signing and closing;
  • Drafting, reviewing and negotiating key transaction documents, including share purchase agreements, shareholders’ agreements, investment agreements, disclosure documentation and related corporate documents;
  • Advising clients on corporate governance, shareholder matters, board issues, corporate housekeeping and day-to-day company law questions;
  • Managing legal due diligence processes, coordinating teams and ensuring high-quality delivery within transaction timelines;
  • Working closely with multidisciplinary teams, including Tax, Funds, Banking & Finance, Employment and Regulatory specialists;
  • Coordinating with CMS offices and external advisers on multi-jurisdictional matters;
  • Participating actively in client meetings, negotiations and strategic discussions;
  • Providing clear, practical and business-oriented legal advice to clients;
  • Supervising, mentoring and reviewing the work of junior lawyers;
  • Contributing to internal knowledge management, training initiatives and team organization;
  • Supporting the development of client relationships and contributing to business development initiatives.

Your profile

  • You have minimum 5 years of completed experience in transactional Corporate law in Luxembourg.
  • You hold a Master’s degree in Law;
  • You are admitted to the Luxembourg Bar;
  • You have strong professional experience in Corporate/M&A within a leading Luxembourg or international law firm;
  • You have a solid track record in domestic and cross-border transactions;
  • You are able to manage significant parts of transactions with autonomy and confidence;
  • You possess excellent drafting, negotiation and transaction management skills;
  • You combine strong technical expertise with a pragmatic and commercial approach;
  • You are client-focused and comfortable dealing directly with senior stakeholders;
  • You demonstrate leadership, reliability and sound judgement;
  • You enjoy mentoring junior lawyers and contributing to the development of the team;
  • You are fluent in English and French, both written and spoken;
  • Knowledge of German and/or Luxembourgish would be considered an asset.
