CMS successfully advises Partners Goup on its investment in the offshore windfarm Borssele III/IV

An international CMS team of German, Dutch and Luxembourg lawyers led by Partner Dr. Holger Kraft (CMS Germany, Energy) and Cecilia van der Weijden (CMS The Netherlands, Energy) has provided Partners Group, the global private markets investment manager, with comprehensive legal advice with regards to the acquisition (on behalf of its clients) of a substantial interest in the Dutch company owning the project rights for the offshore windfarm 'Borssele III/IV'.

The advice on this cross-border transaction included the due diligence of the project as well as the comprehensive negotiation of the acquisition contracts and the establishment of the acquisition structure. Partners Group will be holding a 45% interest in the project company and will be the largest shareholder of a consortium investing in the project. Other investors in the offshore windfarm project are Shell, Mitsubishi, Eneco Group and Van Oord.

The offshore wind farm will be located about 22 kilometres off the Dutch coast of Zeeland and is expected to generate about 3 terrawatt-hours (TWh) per annum, the equivalent of the electricity required by approximately 825,000 households.

CMS Germany has already advised Partners Group previously with regard to its majority investment into offshore windfarm 'Merkur' in 2016 on behalf of its clients and the parallel financing of the offshore windfarm.
