Giancarlo Schievenini is a Partner at CMS Mexico. He works across various practice areas and currently leads the Corporate and M&A practice group. Giancarlo advises both national and international clients on a broad range of corporate matters, with a strong focus on mergers and acquisitions and joint ventures.
He has extensive experience supporting companies from around the world in developing projects or establishing operations in Mexico — whether through the formation of local subsidiaries, the acquisition of existing businesses, or the creation of joint ventures. His clients include public and private companies in the manufacturing sector, as well as real estate developers and institutional investors.
In recent years, Giancarlo has played a key role in numerous multi-jurisdictional M&A transactions, advising not only on Mexican legal matters but also on broader transactional aspects within cross-border deal structures. His expertise includes structuring and implementing corporate frameworks, as well as negotiating and drafting shareholders’ agreements governing the operation and management of target entities.
As a Partner at CMS, one of the largest international law firms in the world, Giancarlo is regularly involved in complex cross-border transactions. CMS’s global presence and integrated approach provide him with access to a broad network of legal professionals and resources, enabling him to deliver consistent, high-quality advice on international deals involving multiple jurisdictions.

Giancarlo has significant experience in the Mexican energy sector and has advised oil & gas industry companies, particularly in energy transactions and regulations under the legal framework passed as a result of the 2013 Energy Reforms in Mexico.
His clients range from independents companies in the upstream and midstream sectors focused on exploration, production and transport activities, to IOCs, service companies, joint ventures and consortia.
Giancarlo is currently advising one of the largest oil & gas companies in Mexico on a dispute involving Indigenous Communities rights as a result of its upstream activities in Veracruz, Mexico. This is one of the first disputes of its kind against IOCs that is being processed in the Federal Courts as a result of upstream activities in Mexico.

Giancarlo advises clients on all aspects and stages of their infrastructure projects, from the designing of complex structures to the drafting, negotiation and implementation of contracts and agreements for the development of the projects. He also advises during the project financing stage, where he has acted for governments, developers and banks.
He also has wide experience on structuring tender procedures for all types of infrastructure projects such as prisons, roads, hospitals, ports and waste-to-energy projects under different Public-Private Partnerships schemes. He has advised federal ministries and agencies, local governments and private companies on all kinds of public bid procedures.
Currently, Giancarlo is a member of the team that advises the Mexican Federal Government on the design, structuring, tendering and implementation of its flagship project “Tren Maya”, a 1,552 km train in Southeast Mexico with an estimated cost of US$6-8 billion.
