Seminar: New Developments in Commercial Contracts (in Dutch)

On Thursday 15th March 2012, from 3.30 pm – 6.00 pm CMS Derks Star Busmann will coordinate the seminar “New Developments in Commercial Contracts”. Would you too like to be kept up-to-date with the latest developments? This seminar offers you the chance.

The outcome?
Some of the things you will learn in this seminar include:

• How you should lay out your applicable general terms and conditions
• The influence which the law on management and supervision exercises on representative authority
• The method and procedure for terminating a long term contract

What does it entail?
In the seminar “New Developments in Commercial Contracts” you will be provided with practical knowledge and tips aiming to raise your awareness of the “legal perils” of present-day contract law.

Recent developments in jurisdiction and legislation relating to the following topics will be discussed:

• Contract negotiations: pre-contractual phase and general terms and conditions.
• Contract interpretation and validity: representative authority (conflict of interests), and how to interpret a contract.
• Contract termination: how to sever long term contracts, including loan agreements.

Target group?
Anyone (whether a legal expert or not) who deals with the negotiation, drafting, evaluation, and/or termination of commercial contracts in their daily activities.

Who will coordinate it?

Reinoud Imhof, lawyer at CMS Derks Star Busmann
Reinoud Imhof has been a lawyer since 1987 and a partner with CMS Derks Star Busmann since 1996. He is head of the Company Commercial department and his activities include partnerships, leasing, refinancing, and consumer financing and developing and selling off collateral.

Aukje Haan, lawyer at CMS Derks Star Busmann
Aukje Haan’s field is company law and entrepreneurial law, which includes overseeing merges and acquisitions as well as drawing up various types of shareholder agreements (and joint ventures). She specializes in shareholder disputes and commercial contracts.

Ellen Gielen, lawyer at CMS Derks Star Busmann
Ellen Gielen specializes in contract law. Her main activities include drawing up, evaluating and negotiating agency agreements, licence agreements, distribution agreements, manufacturing agreements, research agreements (“clinical trial agreements”), and in this capacity also guiding companies in legal procedures. She is also involved in drawing up and evaluating general terms and conditions.

Anita Canta, lawyer at CMS Derks Star Busmann
Anita Canta specializes in distribution and franchising. Within this framework she advises clients with regard to (international) contracts (joint ventures, agency agreements, distribution, commissions and franchising), and general terms and conditions.
