On Wednesday 19 May 2010 we are organizing the following seminar together with Bridge Bedrijfsopvolging:

Successful family business succession
Is my business ready for takeover?

The seminar will focus on the various factors that play an important role in the takeover of a family business. Attached to this invitation you will find a detailed programme of the topics covered by the seminar. The seminar is particularly tailored to directors and major shareholders, successors and prospective successors.

In the next few years over 60,000 family businesses in the Netherlands will be eligible for either succession or sale. The future change of control of the company is one of the most important moments in a company’s (continued) existence. For the company itself it often involves a change in company culture and in existing internal procedures. Moreover, it is crucial for clients and other contacts to maintain confidence in the company.

The transfer is also a major step for the departing director and major shareholder. Apart from the inevitable emotional aspects, he or she will have to deal with a number of legal issues. Will the articles of association require amendment? Will existing contracts need updating? Will it be necessary to draw up a will or make changes to an existing prenuptial agreement? Should any measures be taken to safeguard the director and major shareholder’s pension? Issues to be addressed by the successor include matters such as financing the purchase and minimizing the tax costs of the takeover.

A company takeover is a protracted and arduous process which must be started well ahead of time. Its implementation requires careful and systematic planning in order to avoid jeopardizing the company’s continuity and thereby its enterprise value. Proper arrangements for succession offer significant opportunities for the selling director and major shareholder, his or her successor and eventually for the company itself and safeguard its employees’ jobs.
