CMS advises TA Associates on the acquisition of Alleo by Epassi

CMS has advised TA Associates on the acquisition by Epassi Oy of all shares in YourCampus Holding B.V. and its subsidiaries, including Alleo B.V., a Dutch platform for flexible employee benefits.

Epassi, a Finnish HR specialist owned by TA Associates and Warburg Pincus, has been active in the Netherlands for several years. In 2022, it acquired corporate fitness platform Exercite, including brands such as Bedrijfsfitness Nederland and Workit.

Founded in 2020, Alleo (formerly YourCampus) has evolved from a start-up into a leading HR platform. In 2023, it raised EUR 5 million in a funding round led by Mediahuis Ventures, with participation from existing investors Newion, DFF Ventures (formerly Dutch Founders Fund) and ROM InWest. Earlier this year, Alleo acquired CultuurWerkt!, a foundation originally established by Joop van den Ende, and has since expanded into the German market.
