Juan Carlos Escudero is Senior Partner and co-leader of the Corporate/M&A team at CMS Grau. He has more than 20 years of experience in M&A transactions both in Peru and in several Latin American countries.

He has participated in the acquisition and/or merger of several companies in the commercial, industrial and chemical sectors, as well as in the reorganization of several major companies. Additionally, he has advised in the structuring of the most important financing ever made in Peru by international banks to a private company incorporated in Peru.

He has vast experience in advising financial institutions and companies in the structuring and granting of loans and/or financing in complex transactions in the areas of retail, industry, financial operations, and in complex processes of issuance of securities and securitization of assets and other structured products. He has also had an active participation in large real estate projects, leading the strategies of acquisition, purchase, division, sale and separation of assets.

Among its main types of clients are Investment Banks, Multilateral Companies and Development Banks (CAF, DEG, FMO), foreign and local financial entities, Investment Funds, companies related to the exploitation of natural resources and extractive activities, as well as Retail and Consumer Companies.

Relevant experience

  • Colbún | Advising in the acquisition of 100% of the shares of the thermoelectric generation company Fenix Power Perú, through a Special Purpose Vehicle (SPV), involving the transfer of USD 786 million.
  • Estacionamientos Rivera Navarrete | Design, negotiation and closing of a project finance financing for the construction of a subway parking lot project in one of the main districts of Lima, for an approximate amount of USD 35 million.
  • International banking syndicate conformed by The Westpac Banking Corp. Group., Australia and New Zealand Banking Group; and the National Bank of Australia | Advising in the execution of an amended and restated syndicated credit facility with Austin Group and security over the shares of Austin Engineering Peru and with a mortgage swap, to secure the credit facility for an amount of USD 155 MM.
  • Empresa eléctrica Agua Azul, Aluz C&O Perú y Aluz Clean Energy | Advising in the financing of the "Potrero" Hydroelectric Power Plant Project in Cajamarca, under the project finance modality, involving a medium term loan for more than USD 30 MM. El Potrero is a RER (renewable energy resources) hydroelectric generation project.
  • Grupo Falabella | Advising on most of its financings and on the public issuance of corporate bonds and other commercial documents, for a total amount of more than USD 380 MM.
  • Banco Internacional del Perú S.A.A. - Interbank | Advising on the securitization bond issues of Colegios Peruanos S.A.C., holder of the trademark "Innova Schools" under which it operates more than 30 schools in Peru, for an amount of USD 37.50 million.
  • Silver Wheaton | Advising on the acquisition of a percentage of the gold and silver production of the Hudbay Group in the Constancia Project for an approximate value of USD 650 million.
  • Banco Internacional del Perú - Interbank | Advising on the granting of financing through a financial lease for the construction of the LA RAMBLA BRASIL Shopping Center, to be developed by a company of the Brescia Group, for an approximate amount of USD 38 million plus taxes.
  • Glencore Xstrata PLC | One of the world's largest natural resource diversification companies in the sale of the Las Bambas copper project for USD 7.3 billion to the consortium led by MMG Limited. This transaction is considered the largest in Peruvian history.
  • ALS Group | Advice in the issuance of notes by ALS Group General Partnership and ALS Canada Limited for an approximate amount of USD $ 297 MM, as well as to ALS Limited and its subsidiaries, for the granting of guarantees in this financing.

Juan Carlos Escudero is Senior Partner and co-leads the Corporate/M&A and TMC (Technology, Media, and Communications) team at CMS Grau. His practice focuses on corporate law, financing, mergers and acquisitions, and particularly on all transactional aspects related to the technology industry.

With over 20 years of experience in M&A transactions and high-profile matters, ranging from commercial issues to complex to technology-rich cross-border transactions. 

Juan Carlos Escudero's experience extends to both international and local companies across diverse industries, such as media, finance, commerce, healthcare, and others. He has provided counsel to one of Peru's leading media conglomerates as part of their digital transformation, including group reorganization and transactions involving advertising platforms, online lottery, online marketplace, and other digital products. Moreover, he has been appointed representative and/or board member of several multinational companies operating in Peru. 

As the Managing Partner and a member of the Management Committee at CMS Grau, Juan Carlos leads the digital transformation of the firm and supports the development of international projects among CMS offices.

  • El Comercio (PagoEfectivo) | Advised on the structuring of the sale of all the shares of Orbis Ventures SAC. ("PagoEfectivo" payment gateway) and its subsidiary Orbisventures EC S.A. in Ecuador. The advice included a vendor due diligence and the preparation / review of transaction documents.
  • Nuvei | Advised Nuvei, Canada's leading payment processing company, in the acquisition of a payment processing company with operations in several countries in the Latin American region.
  • Didi | Advice on the start of operations in the Peruvian market.
