CMS has advised Axpo Polska sp. z o.o. on the acquisition of a biogas plant producing green energy primarily from agricultural waste. This is Axpo's first investment in biogas projects in Poland.
Located in Stare Ślepce in the voivodeship of West Pomerania, the biogas plant has been operational since 2020 and processes approximately 20,000 tons of agricultural substrates annually. The facility produces 6,640 MWh of green electricity each year, as well as zero-carbon organic fertiliser, which is used by local farmers.
In line with Axpo Group’s strategic goals of introducing green gas to European markets, the company plans to further expand its operations in the country, particularly in the biogas sector.
Comprehensive legal and tax support throughout the biogas plant acquisition process was provided by a multidisciplinary CMS team supervised by Łukasz Szatkowski, partner in the Energy and Infrastructure practice. The project was led by Olga Czyżycka-Szczygieł, counsel in the Corporate/M&A practice, and Wojciech Szopiński, counsel in the Energy and Infrastructure practice, with support from Michał Serwa and Karolina Kosińska (Corporate/M&A), Marta Tarkowska-Losik, Filip Zieliński-Andrysiak and Bartłomiej Głąbiński (Energy and Infrastructure). Paulina Karpińska-Huzior and Maciej Brezdeń (Tax team) were responsible for the tax aspects of the transaction.
