CMS advises SINO-CEEF on the acquisition of 25 operational photovoltaic power plants with a total capacity of almost 90 MW in Poland

International law firm CMS has advised a SINO-CEEF group company on the acquisition of 25 operational photovoltaic (PV) power plants with a total capacity of 88.4 MW from Alternus Energy Group, including one of the largest PV power plants in Poland.

The transaction was structured as a conditional sale of the project companies, with the preliminary agreement signed in December 2023. The fulfilment of all the conditions precedent made it possible to close the transaction on 19 January 2024.

The multidisciplinary CMS team was supervised by Łukasz Szatkowski and Rafał Zwierz, who were supported by Maciej Ziółkowski, Adam Kędziora, Alicja Smyklińska, Marta Tarkowska, Małgorzata Popiel and Karolina Tatomir (Energy and Infrastructure), Monika Szczotkowska, Kinga Mogilnicka, Damian Gierasimczuk and Karolina Kosińska (Corporate & M&A), and Krzysztof Schulz (Finance). A CMS Luxembourg team comprising Paweł Hermelinski, Guillaume Flagollet and Kornelia Krajewska (Corporate/M&A) supported on the international aspects of the transaction.

CMS’s advice on this acquisition of a portfolio of PV farms builds on the firm’s work with SINO-CEEF.
