CMS advises syndicate of banks on financing for Gemini Polska
CMS has advised a syndicate of six banks on financing for Gemini Polska Sp. z o.o., a Polish pharmacy and drugstore retail group headquartered in Gdańsk, Poland. The financing covers the refinancing of existing loans up to PLN 1bn. The transaction represents a significant financing event for the Polish retail pharmacy sector.
The lending syndicate comprises ING Bank Śląski S.A., BNP Paribas Bank Polska S.A., mBank S.A., Powszechna Kasa Oszczędności Bank Polski S.A., Erste Bank Polska S.A. (formerly Santander Bank Polska S.A.) and Velobank S.A.
CMS provided comprehensive lender-side legal support, including drafting and negotiating the financing, factoring and security documentation, advising during negotiations, issuing Polish and English law advice, verifying conditions precedent and conditions subsequent, and coordinating the signing process.
