Dominika Krysiak-Bogdzio is an advocate and associate in the Banking and Finance Department at CMS, where she advises on complex financing transactions.

Dominika advises Polish and international banks, financial institutions, banking consortia, sponsors, and borrowers on a broad range of domestic and cross-border finance transactions. Her practice has a particular focus on project finance – especially financing for renewable energy projects supported by the auction system – as well as real estate transactions and acquisition finance. Dominika has experience in drafting and negotiating finance documents, as well as supervising, collecting and verifying documentation for drawdown processes. Prior to joining CMS, Dominika gained her experience at international law firms operating in the Polish market (including Dentons) and at the European Investment Bank.  

Relevant experience

  • EBRD, DNB Bank Polska, mBank, Bank Pekao, PZU: Advising in connection with financing granted to the special purpose vehicle Potęgowo Mashav for the expansion of the Potęgowo wind farm, the largest wind power plant in Poland, with a total capacity of 256.9 MW upon completion.
  • Bank Gospodarstwa Krajowego (BGK), KUKE: Advising on the provision of financing in the amount of EUR 32.37 million to HiProMine for the construction and equipment of a new animal feed production facility and an insect breeding and genetic reproduction center. This was the first project finance transaction granted by BGK using KUKE guarantees for an export-generating investment.
  • Pacifico Renewables Yield: Advising on a multi-million financing granted by Bayerische Landesbank to three special purpose vehicles controlled by Pacifico Renewables Yield AG for the construction of wind farms in northern Poland, consisting of 20 wind turbines with a total capacity exceeding 50 MW. 
  • DNB Bank Polska, EKF (Danish Export Credit Agency): Advising on a multi-million financing granted by a consortium to a company belonging to Uriel Renewables for the construction of the Dębnica Kaszubska wind farm with a capacity of approximately 21 MW, located in northern Poland.
  • Erste Group Bank, ING Bank Śląski: Advising on a multi-million refinancing of the acquisition of photovoltaic projects with a total capacity of 54.8 MW located in Poland, granted to a company controlled by a fund managed by Aberdeen Standard Investments.
  • Bank Gospodarstwa Krajowego, Bank Millennium: Advising on financing of up to EUR 61 million granted to two subsidiaries of IMMOBEL Poland for the construction of the Central Point office building located in Warsaw at the corner of Marszałkowska and Świętokrzyska streets, with a total leasable area of approximately 19,000 sq m.
  • BNP Paribas Bank Polska: Advising on a multi-million financing granted by BNP Paribas Bank Polska to a special purpose vehicle jointly controlled by the Grosvenor Group, REINO Capital and IO Asset Management for the acquisition of the Logistic City logistics park in Piotrków Trybunalski.
  • BNP Paribas Bank Polska: Advising on the refinancing of approximately EUR 5.6 million of indebtedness of two special purpose vehicles operating shopping centers in Bartoszyce and Sandomierz.
  • mBank: Advising on financing granted to the special purpose vehicle OKRE Development, the owner of the GreenWings office building in Warsaw, for the refinancing of indebtedness with two Polish banks.
  • GLL Real Estate Partners: Advising a fund managed by GLL on the acquisition of a logistics center in Kokotów. The warehouse is a build-to-suit (BTS) project designed for Answear.com – a European leader in the e-commerce sector. The seller was a joint venture formed by 7R S.A. and Hillwood Poland.
