New promotions at CMS

CMS Poland has nominated two new counsels: Michał Andruszkiewicz from the energy practice and Rafał Kluziak from the M&A team. Both nominations became effective on 1 July 2018.

“Our counsels have been promoted in recognition of their skills and experience. The promotions are also related with the development plans for the practices represented by the new counsels", emphasises Małgorzata Surdek, Managing Partner at CMS Poland.

Michał Andruszkiewicz specialises in the provision of advisory services for the energy and chemical sector. He has provided comprehensive support for clients with respect to various legal aspects related to carrying out business activity in these sectors for over 10 years.

Michał’s experience includes advising on the development of large industrial installations (such as a propane dehydrogenation and polypropylene production installation), new power units (CHP and coal-fired units), investment projects related to renewable energy sources (including offshore) and projects related to the extension of electrical grids. Michał also supports his customers in drafting and negotiating EPC contracts, long-term contracts for the sale of electricity, gas or heat, interconnection agreements, FEED contracts as well as agreements related to the acquisition of technology and long-term service agreements, supply agreements and agreements for the provision of services in multi-contracting projects. Michał also provides regulatory advice related to the functioning of the electric energy and gas market, including on tariffs for energy companies and has participated in the drafting of the amendments to instructions for the operation and maintenance of the grid and advised on issues related to cross-border electricity exchange. He is an advocate. He graduated from the Faculty of Law and Administration at the Adam Mickiewicz University in Poznań as well as the British and European Law School and the German Law School. He joined CMS in 2011.

Rafał Kluziak has been specialising in transactional advisory services, corporate law and capital markets for 8 years. His experience includes advising on private and public M&A transactions, tender offers, public offerings and funds. Thanks to his combined M&A and capital markets expertise, Rafał provides his clients with comprehensive support in dual track processes and acquisitions related to delisting plans. He has advised on projects such as the acquisition and delisting of Emperia Holding S.A. managing the Stokrotka supermarket chain, on acquiring Innova Capital as the investor for o2 Group for the purposes of acquiring and merging with Wirtualna Polska or on the establishment of the CVC mAccelerator fund for mBank. Rafał also provides ongoing regulatory advice on trading in financial instruments, specifically on information obligations, confidential information and capital market fraud. Before joining CMS, Rafał worked for the Brokerage House Department of the Office of the Polish Financial Supervision Authority where he was responsible for, among other things, implementing the provisions of the MiFID Directive. He is an advocate, a graduate of the Faculty of Law at the University of Warsaw as well as of the Capital Market Leaders Academy. He joined CMS in 2010.
