Bartosz Potrykus is an advocate trainee and associate in the Banking and Finance Practice at CMS Poland. 

Bartosz specialises in banking and finance law, capital markets, civil and commercial law, as well as commercial company law. He has extensive experience in advising Polish and international financial institutions, corporations, investors and borrowers on complex domestic and cross-border financing transactions.

His expertise encompasses structuring transactions, drafting and negotiating financing documentation, including security documents, corporate approvals and legal opinions, as well as analysing credit and loan disbursement conditions. Bartosz has been actively involved in numerous projects related to the financing and refinancing of wind farms, photovoltaic plants, real estate, logistics warehouses, export finance and other corporate finance projects, including acquisition finance of both shares and assets.

Bartosz also has significant experience in conducting due diligence studies, including analysis of documents for the purposes of investment processes in connection with renewable energy and real estate projects, as well as financial and insurance issues. He ensures that clients' financial and regulatory needs are met efficiently and effectively across all stages of the transaction.

Relevant experience

  • A consortium of lenders, made up of Erste Bank Polska S.A., UniCredit S.p.A. and PKO Bank Polski S.A., on the PLN 470 million project financing for a 132MW 4-hour lithium-ion battery energy storage system (BESS) in the Trzebinia district, Małopolskie region, benefiting from an ECA guarantee issued by KUKE S.A. under the ETI programme.
  • Sunly group in relation to PLN 273 million financing granted by mBank S.A. to 39 obligors for the construction of 58 PV farms with a total capacity of approx. 98 MW, including refinancing of earlier investments in Poland.
  • mBank S.A. in relation to the financing for Green On Energy, a company within the PROFBUD group, for the construction of a wind farm in central Poland supplying green energy primarily to residential and office buildings developed by PROFBUD.
  • Bank Polska Kasa Opieki S.A. in connection with a portfolio financing for BIG Poland for the acquisition of two retail parks (Power Park Olsztyn and Multishop Suwałki) and refinancing of existing debt of three BIG Poland group companies owning retail parks in Ostróda, Łubna and Myszków.
  • mBank S.A. on a financing deal for Wysoka Grzęda, the largest and most advanced organic egg producer in Poland, for the purpose of refinancing existing debt and funding the construction of new hen houses.
  • mBank S.A. on the financing for Surfer Sp. z o.o., an innovative leader in the global SEO market, to support the company's growth, further expansion and strategic investments, including refinancing of existing debt.
  • PGE Polska Grupa Energetyczna S.A. in relation to a record financing of over PLN 12 billion from Bank Gospodarstwa Krajowego (BGK) under the National Recovery Plan for the development and modernisation of power grids by PGE Dystrybucja and PGE Energetyka Kolejowa.
  • DNB Bank ASA and PKO Bank Polski S.A. in relation to the financing granted to GoldenPeaks Capital for the development of 55 individual solar projects with a total capacity of 72.0 MWp across various regions of Poland.
