Krystian Kowalski is an advocate and a senior associate in the Corporate / M&A practice at CMS. 

He is a highly experienced advisor who specialises in M&A transactions as well as corporate and capital markets law. Krystian advises private equity sponsors and their portfolio companies, industry investors, as well as public and private companies on executing key transactions. His expertise spans mergers, acquisitions, divestitures, leveraged buyouts, carve-outs, minority investments, joint ventures, going-private transactions, as well as complex strategic deals and corporate governance matters.

He also advises clients on capital market law related matters, especially on the disclosure obligations of WSE-listed public companies and regulations concerning the prevention of market abuse.

Before joining CMS, Krystian honed his skills at leading law firms including Deloitte Legal and Rymarz Zdort, bringing a wealth of knowledge and a business-oriented approach to every transaction he supports.

Relevant experience

  • Nemera, the world's leading French provider of drug delivery solutions, on the acquisition of Copernicus sp. z o.o., a company specializing in the design, development and manufacturing of medical injection devices.
  • The founders of ExploRNA Therapeutics sp. z o.o., a biotech spin-off from the University of Warsaw developing breakthrough mRNA modification technologies, on an equity investment in which the Black Forest SICAV-SIF fund (owned by Michał Sołowow) subscribed for shares in ExploRNA Therapeutics and provided funding for the expansion of operations.
  • PGE Polska Grupa Energetyczna S.A. on the joint venture agreement with the Danish energy company Ørsted on the development, construction and operation of the Baltica-3 wind power plant with a capacity of approximately 1 GW and the Baltica-2 wind power plant with a capacity of approximately 1.5 GW.
  • Méliuz S.A. on the acquisition of a majority stake in the e-commerce platform Picodi.com S.A.
  • Pelion S.A. on acquiring an investor for Powiatowe Centrum Zdrowia in Brzeziny sp. z o.o.
  • A&R Investments on the acquisition of a minority stake in eObuwie.pl S.A. (now Modivo S.A.).
  • The owners of Polmos Bielsko Biała S.A. in connection with the sale of Polmos Bielsko Biała S.A. to Stock Spirits group.
  • LKN Wealth Capital Investors in connection with the sale of Mediapop sp. z o.o. to Wirtualna Polska Holding S.A.
  • Bielenda Kosmetyki Naturalne S.A. (a portfolio company of Innova Capital) on the acquisition of a majority stake in Miya Cosmetics S.A.
  • Innova Capital on the acquisition of a majority stake in Tutore Poland group, a leading provider of a private education platform.
