Magdalena Zmysłowska is a qualified Polish advocate and counsel in the Corporate/M&A Department at CMS.

She focuses on commercial and securities law, merger and acquisition transactions as well as corporate governance issues. Magdalena has participated in a number of M&A and capital market transactions where she advised clients from various sectors on planned initial public offerings, acquisitions of shares and enterprises, bond issues and disclosure obligations.

She is also an author of publications on various capital markets law aspects.

Before joining CMS in 2018, Magdalena worked in leading international law firms in Warsaw.

Relevant experience

  • Alior Bank in relation to the PLN 2.2bn public offering of rights offering and issuance of new shares and the admission of the new shares to trading on the WSE.
  • Emperia Holding S.A. on investment agreement with MAXIMA GRUPĖ, UAB. According to this agreement, MAXIMA announced a public tender offer for sale of 100% of shares of Emperia.
  • EcorNaturaSi, an Italian distributor of organic food on acquisition of the controlling stake of shares of Organic Farma Zdrowia.
  • P4 sp. z o.o the mobile operator acting on the Polish market under the Play brand on "high yield bonds" issuance.
  • JSW S.A. in relation to the acquisition of an organized part of the enterprise of Kompania Węglowa S.A., inclusing the Knurów-Szczygłowice coal mine.
  • Anheuser-Busch InBev on the Polish law aspects of the EUR 7.3bn sale of the enterprises owned previously by SABMiller Limited in Poland, Czech Republic, Slovakia, Hungary and Romania to Asahi Group Holdings, Ltd.
  • Goldman Sachs International, Morgan Stanley & Co. International plc as global coordinators and Dom Maklerski PKO Bank Polski as global coordinator and offeror on initial public offering of shares of PKP CARGO S.A.
  • Euromedic International, a leading pan-European medical service provider on the acquisition of a 100% stake in NU-MEDIC Pracownie Diagnostyczne Sp. z o.o., a company operating seven diagnostic centers in northern Poland, as well as in the acquisition of a diagnostic center from NU-Med Grupa S.A.
  • KI Chemistry s.à r.l., a subsidiary of Kulczyk Investments S.A. in relation to the acquisition of a majority of shares in CIECH S.A., a leading European chemical company and the second largest producer of soda ash in Europe. The transaction was carried out by way of a tender offer for the acquisition of up to 66% of the issued share capital of CIECH S.A. The value of the transaction was PLN 835m (USD 278m).
  • ZE PAK on its $220m IPO on the WSE.
